End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Martinsound, Inc. ("Martinsound," "we," "us," or "our"), operator of Martinsound Film Spaces, located at 1151 W. Valley Blvd, Alhambra, CA 91803. By accessing or using our online booking platform (the "Service"), you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms of this Agreement, Martinsound grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the purpose of submitting and managing location bookings for film, photography, and commercial production.

2. Restrictions

You agree not to: (a) copy, modify, or distribute the Service or its contents; (b) reverse engineer or attempt to extract source code; (c) use the Service for any unlawful purpose or in violation of any applicable laws; (d) impersonate any person or entity, or misrepresent your affiliation; (e) submit false or misleading booking information; or (f) interfere with the security or integrity of the Service.

3. Booking Terms

All bookings made through the Service are subject to availability and require staff approval. A booking is not confirmed until you receive written confirmation from Martinsound. Martinsound reserves the right to decline any booking at its sole discretion.

4. Payment

Approved bookings require payment in full prior to the scheduled shoot date. Payment processing is handled through secure third-party providers (Stripe). Accepted methods include credit/debit card and ACH/eCheck. By submitting payment information, you authorize Martinsound to charge the stated amount including any applicable processing fees.

5. Cancellation & Refund Policy

All confirmed bookings are subject to the following three-tier cancellation policy. Cancellation fees are calculated on the studio and services portion of your booking total (equipment rental is addressed separately below):

  1. Grace Period, No Fee: All confirmed bookings include a Grace Period. No cancellation fee applies if the booking is cancelled within 24 hours of receiving your confirmation notice, provided the booking was confirmed at least 48 hours before the scheduled shoot start time. Bookings confirmed within 48 hours of the shoot start time are not eligible for the grace period.
  2. 50% Cancellation Fee: Cancellations made more than 48 hours before the scheduled shoot start time (and outside the grace period above) incur a cancellation fee of 50% of the studio and services total.
  3. 100% Cancellation Fee: Cancellations made within 48 hours of the booking start time incur a cancellation fee of the full studio and services total.

Equipment rental: Equipment charges are generally refunded in full on cancellation. Martinsound reserves the right to apply an equipment cancellation fee where rental commitments cannot be recovered; any such fee will not exceed the equipment portion of your booking.

On cancellation, any amounts you have paid above the applicable cancellation fee are refunded; if the amounts paid do not cover the fee, the remainder may be charged to your payment method on file. Refunds are issued to the original payment method. Processing fees charged to the client are non-refundable. Rescheduling is permitted at no charge up to 48 hours before the shoot, subject to availability; requests within 48 hours may incur charges. Martinsound reserves the right to cancel any booking due to facility unavailability, safety concerns, or circumstances beyond our control, in which case a full refund will be issued.

6. Insurance & Documentation

All productions are required to provide a valid Certificate of Insurance and a signed Location Agreement prior to the shoot date. Access to the facility will not be granted until all required documentation has been received and reviewed.

7. Intellectual Property

All content, branding, and materials provided through the Service are the property of Martinsound or its licensors and are protected by applicable intellectual property laws. You may not use our trademarks, logos, or proprietary materials without prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MARTINSOUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARTINSOUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC BOOKING GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Martinsound and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of this Agreement.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

12. Changes to this Agreement

Martinsound reserves the right to modify this Agreement at any time. We will notify users of material changes by updating the "Last updated" date above. Continued use of the Service following such changes constitutes your acceptance of the revised Agreement.
